These Terms of Service (“Terms”) govern your use of BlackBit Brain (“BBB”, “we”, “us”) products and services. By creating an account, signing up for a trial, or otherwise using BBB, you agree to these Terms.
1. Definitions
- “Customer”: the legal entity (individual or organization) that creates a BBB account.
- “Service”: the BBB platform, including the marketing site, the application at app.blackbitbrain.com, the API, and any related products.
- “Customer Data”: any data Customer submits to or generates within the Service.
- “Tenant”: an isolated instance of the Service scoped to a single Customer organization.
2. Your account
You are responsible for the security of your account. Use a strong password, enable any available second-factor authentication, and notify us immediately of any unauthorized use.
You agree:
- Not to share your credentials with others.
- Not to use the Service for unlawful purposes.
- Not to attempt to reverse engineer, decompile, or otherwise extract source code.
- Not to use the Service to harass, defame, or harm others.
3. Trial
Trial accounts have access to the Service for 7 days, with the full feature set of the tier you selected at signup. You must provide a payment method at signup; we do not charge during the trial. On day 7, your tier’s regular subscription begins and your card is charged. You can cancel from the Customer Portal at any time before day 7 with one click — no charge, no questions, no retention call. If you do not cancel and do not actively continue, your tenant goes read-only on day 8 and is removed after 90 days per our retention schedule (Section 10).
4. Plans and billing
- Pricing is published at /pricing. We may adjust pricing with 30 days’ notice; existing paid customers retain their pricing for the current annual cycle.
- Billing is handled by Stripe. By providing payment information, you authorize Stripe to charge the agreed amount on the agreed schedule.
- Plan changes: upgrades take effect immediately; downgrades take effect at the end of the current billing period.
- Overages: if you exceed your tier’s volume limits, the first overage is forgiven; subsequent overages auto-bill at the rates in /pricing.
- Refunds: we do not pro-rate refunds for partial periods. We will refund any erroneous charge within 30 days.
5. Customer Data
Customer Data is yours. We claim no ownership of the raw content you submit to or generate within the Service.
- Use: we use Customer Data to provide the Service and as instructed by you.
- Sub-processors: we do not sell or share Customer Data with third parties except the sub-processors listed in our Privacy Policy, each scoped to a specific operational purpose (database hosting, payment processing, transactional email).
- Export: you can export Customer Data at any time via API or admin UI, in machine-readable JSON / CSV.
- Retention + deletion: see Section 10.
5.1 Agent improvement program
BlackBit Brain operates an agent improvement program (the “Foundry drill harness”) that uses aggregated, anonymized signal data — calibration scores, approve/reject patterns, error/escalation patterns — to improve the agents we deliver. Full mechanics, what data is used, what is never used, and the opt-out procedure are described in our Privacy Policy under “How we improve our agents using your data.”
Key contractual commitments:
- We do not use your raw customer messages, drafts, or other content to train base LLMs (Anthropic / OpenAI / Cohere / local models). Those models receive your content only at inference time, scoped to your tenant.
- We do not allow one customer’s data to inform another customer’s inference. Row-level security is FORCE’d at the database layer; cross-tenant leakage is impossible by construction.
- We do use signal-level, anonymized aggregates to improve agent skills that are then delivered as platform updates available to every customer at your tier.
- You can opt out of cross-tenant aggregation at any time (Enterprise / Sovereign: built into your contract; Starter / Growth: one email to [email protected]). Opt-out does not degrade your service — you continue to receive every platform improvement.
6. Service availability
We aim for 99.5% monthly uptime on Starter, 99.9% on Growth, and 99.95% on Enterprise (with bespoke SLA). Status updates are published at status.blackbitbrain.com when publicly live.
If we breach an SLA, you are entitled to a service credit per the standard schedule:
- Below Starter SLA: 5% credit
- Below Growth SLA: 10% credit
- Below Enterprise SLA: per individual contract
7. Confidentiality
Each party agrees to protect the other’s confidential information with the same care it uses to protect its own. We treat your Customer Data as confidential. You agree to treat any non-public information about BBB (security architecture, business plans, pricing exceptions) as confidential.
8. Acceptable use
You agree not to use the Service to:
- Send spam or unsolicited bulk messages.
- Generate or distribute hate speech, harassment, or content that violates GCC laws or general laws of the jurisdictions in which you or your customers operate.
- Bypass platform-imposed rate limits or terms (e.g., circumvent Twitter’s reply-window enforcement).
- Use the Service in ways that violate third-party rights.
We reserve the right to suspend service for violations, with notice where practicable.
9. Intellectual property
- BBB retains all rights to the Service, our brand, our agent personas, and our software.
- You retain all rights to Customer Data and to any content you generate using the Service.
- Feedback you provide to us about the Service may be used by us without restriction.
10. Termination
You can terminate your account at any time via the Customer Portal. We can terminate your account for material breach of these Terms with 30 days’ notice (or immediately for severe violations like fraud or abuse).
On termination:
- Your access to the Service ceases.
- Your Customer Data is exported (you have 90 days to download).
- After 90 days, your data is deleted from production systems. Backups are retained per our standard retention schedule (90 additional days, then deleted).
11. Warranty disclaimer
The Service is provided “as is” and “as available.” We do not warrant that:
- The Service will meet all your requirements.
- AI-generated content will be free of errors or always appropriate (this is why we ship the approval gate by default).
- The Service will be uninterrupted or error-free.
We do warrant that we will operate the Service in good faith and in accordance with these Terms.
12. Limitation of liability
To the fullest extent permitted by law, BBB’s total liability for any claim arising from or relating to these Terms or the Service will not exceed the amount you paid to BBB in the 12 months preceding the claim.
We are not liable for any indirect, incidental, consequential, special, or exemplary damages.
13. Governing law and dispute resolution
These Terms are governed by the laws of the State of Qatar. Any dispute will first be subject to good-faith negotiation. If unresolved within 30 days, disputes will be referred to the Qatar International Court and Dispute Resolution Centre (QICDRC) for binding arbitration.
For Enterprise customers, alternate jurisdiction may be negotiated as part of the master services agreement.
14. Changes to these Terms
We may update these Terms as the product evolves. Material changes will be communicated by email at least 30 days before they take effect. Continued use of the Service after the effective date constitutes acceptance.
15. Data Processing Agreement (DPA)
Enterprise + Sovereign customers requiring a signed DPA (PDPL, GDPR, or both) — we have a standard DPA covering controller / processor responsibilities, technical + organizational measures, sub-processor management, breach notification, and audit rights. Email [email protected] with subject “DPA request” and we will return a redlinable copy within two business days. Starter + Growth customers operate under these Terms + the Privacy Policy as the data-processing agreement.
16. AI-specific terms
The Service uses both proprietary BlackBit Brain agents and third-party large language models (Anthropic Claude, OpenAI GPT, Cohere, local Ollama models). You acknowledge:
- Model outputs are not guaranteed. Drafts generated by AI agents may contain errors, hallucinations, biased phrasing, or culturally inappropriate suggestions despite our best efforts to mitigate them.
- The approval gate is on by default. High-risk actions (publishing to customer-facing channels, legal-domain output, customer-care responses) require human review before they ship. You can opt-in to auto-publish per channel; if you do, you accept responsibility for what your tenant publishes.
- Cultural / regional appropriateness. Although we calibrate for Khaleeji / MSA / GCC business norms, you remain responsible for reviewing output for your specific cultural context, customer expectations, and legal jurisdiction.
- Third-party model providers. When the platform routes inference to Anthropic / OpenAI / Cohere, your prompt + content is sent to that provider for the time required to generate a response, under each provider’s enterprise terms (data not retained for training, data residency commitments per provider). Local Ollama mode keeps all inference on your hardware.
- Acceptable-use restrictions. You agree not to use the Service to generate content that violates Section 8 (acceptable use), including disallowed content categories under PDPL or GCC criminal law.
